PLEASE READ THESE TERMS AND CONDITIONS OF SERVICE (“TERMS”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY Uniqu OÜ (“Uniqu”, “we”, “us”, or “our”). BY ACCESSING, REGISTERING FOR, OR USING THE Uniqu SERVICES, YOU (“USER”, “YOU”) AGREE TO BE BOUND BY THESE TERMS, WHICH FORM A LEGALLY BINDING AGREEMENT UNDER THE LAWS OF THE REPUBLIC OF ESTONIA.
1. Definitions
- “Services” shall refer to all applications, websites, and any other digital products provided by Uniqu OÜ, including AI-powered tools and related platforms.
- “User Content” means any information, input, data, text, files, resumes, job links, or other material submitted by the User to the Services.
- “Output” means any results, data, text, files, or other content generated and returned to the User by the Services as a function of the User Content.
- “Account” means a registered profile for access to the Services, which is non-transferable.
2. Eligibility and Account Registration
2.1. The User represents that they are at least eighteen (18) years of age.
2.2. User warrants that all registration information provided to Uniqu shall be truthful, accurate, complete, and up-to-date. The User shall maintain and promptly update such information as necessary.
2.3. User is solely responsible for safeguarding Account credentials and agrees not to disclose their password to any third party. User is liable for all activities conducted via their Account.
3. Grant of License and User Content
3.1. By submitting User Content to the Services, User grants to Uniqu a non-exclusive, worldwide, royalty-free license to utilize, reproduce, modify, adapt, publish, process, and otherwise use such User Content for the purposes of operating, improving, and securing the Services.
3.2. Subject to applicable law, User retains ownership of their original User Content and, where applicable, the Output generated by the Services. User acknowledges, however, that Uniqu may use such content as described in clause 3.1 and may be obliged to disclose data to relevant authorities where required by Estonian law.
3.3. The User warrants that they have all necessary rights to submit User Content and that such content does not infringe upon any intellectual property or proprietary rights of any third party.
4. Acceptable Use and Restrictions
4.1. User shall not use the Services for any unlawful, harmful, fraudulent, abusive, defamatory, hateful, harassing, or otherwise prohibited purpose as defined under Estonian law and regulation.
4.2. Uniqu prohibits:
(a) Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying ideas or algorithms of any portion of the Services.
(b) Circumventing or attempting to circumvent any security measures, protections, or usage limits in the Services.
(c) Use of the Services to transmit, distribute, or facilitate unsolicited or unauthorized advertising or spam.
(d) any attempts to do prompt injection or prompt reverse engineering.
4.3. User shall comply fully with all applicable laws, regulations, and third-party contractual obligations when using the Services.
5. Attribution, Publication, and Compliance
5.1. If User publishes, communicates, or disseminates Output generated from the Services, User takes full responsibility for such use and dissemination. Uniqu shall not be liable for any consequences of such dissemination.
5.2. In particular, user bears full responsibility for the legal, regulatory, and ethical compliance of any decisions or actions undertaken on the basis of Output.
6. Accuracy; No Reliance
6.1. User acknowledges that Output generated by the Services may be incomplete, inaccurate, or inappropriate for reliance in professional, legal, medical, financial, or other contexts.
6.2. The Services are provided strictly “AS IS” and “AS AVAILABLE.” Uniqu disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted availability.
7. Limitation of Liability
7.1. To the maximum extent allowed under Estonian law, Uniqu shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or revenue, arising from or relating to the use or inability to use the Services.
7.2. Uniqu’s aggregate liability for any and all claims shall be limited to the greater of €100 (one hundred euros) or the total amount paid by User for Services within the preceding six (6) months.
8. Data Processing and Privacy
8.1. All personal data collected by Uniqu shall be processed in accordance with the Estonian Personal Data Protection Act, the EU General Data Protection Regulation (GDPR), and our Privacy Policy..
8.2. User acknowledges and consents to such data processing and to any lawful disclosure requirements established by Estonian authorities.
9. Suspension, Termination, and Remedies
9.1. Uniqu reserves the right, at its sole discretion, to suspend or permanently terminate User’s access to the Services for violations of these Terms, violations of law, risk management assessments, or for any other reason substantiated in law.
9.2. Upon termination, any accrued rights and obligations shall survive as provided by law.
9.3. User may delete their Account and discontinue use of the Services at any time.
10. Dispute Resolution and Governing Law
10.1. These Terms and any disputes arising from or related to them shall be governed by the laws of the Republic of Estonia, without regard to its conflict of law provisions.
10.2. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration under the rules of the Arbitration Court of the Chamber of Commerce and Industry of Estonia. Venue shall be Tallinn, Estonia.
10.3. User hereby waives the right to participate in any collective action or class proceeding unless such waiver is impermissible by law.
11. Modification of Terms
11.1. Uniqu may amend these Terms from time to time. Material changes will be notified to Users via prominent notice within the Services or by email, where possible. Continued use of the Services following notice constitutes acceptance of the revised Terms.
12. Miscellaneous Provisions
12.1. If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed, and the remainder of the Terms shall remain in full force and effect.
12.2. These Terms, together with the Privacy Policy, represent the entire agreement between User and Uniqu regarding the Services.
12.3. No waiver of any right or remedy under these Terms shall be deemed a waiver of other rights or remedies.
12.4. The failure of Uniqu to enforce any provision shall not constitute a waiver of future enforcement of that provision.
